Definitions:

• Ad means any advertisement by the Merchant.
• Merchant is the organization that submits the advertising or campaigns.
• Campaign or Ad Campaign means a multiple Ads in succession.
• Affiliate is the website and/or website owner who access the Company Site for the purpose of choosing Ads and/or Campaigns.
• Visitor is any casual internet surfer on the affiliate’s website who clicks on the links to the merchant’s web site.
• Sale commission means the payout the merchant agrees to pay for visitors directed to his web site and buy a product or service. The sale can occur at the time of the visit or within 30 days. If a sale is made after 30 days and the visitor has not returned through the affiliate's site, then no payout shall occur.
• Lead commission is the payout the merchant agrees to pay for visitors results in the Visitor performing an action (like filling a form, joining a list/group etc.) defined by the merchant.
• Click commission means the payout the merchant agrees to pay for a valid click from an affiliate partner's site to the Merchant's site that results in visitor viewing the merchant’s website. A valid click such when it meets certain criteria as defined in this agreement, which is subject to change from time to time.
• Payout means the amount sale commission, lead commission, or click commission combined as agreed by VCommission and the Merchant.
• Commission means the amount sale commission, lead commission, or click commission combined as agreed by VCommission and the Merchant.
• Link means a hyperlink placed on an affiliate's site which on clicking, directs the visitor to the merchant’s website. The Link can be text, product image, button, etc.

License
On registering, the merchant grants unregistered license to use, reproduce, publicly and digitally display and perform, transmit and broadcast his/company name, logos, trademarks, trade names, service marks, URLs and slogans to display, market, promote and publicize Ads on the Service Such License t erminates with void registration and/or contract for any reason, of all Orders then in effect.

License Restrictions
Affiliate grants VCommission a non-exclusive, non-transferable, without right to sublicensed license to use and display, during the term of this Agreement, the Affiliate Marks, solely for the purpose of linking to the Affiliate Site. VCommission agrees that the Affiliate Marks are and will remain the sole property of Affiliate and agrees not to contest the ownership of such Affiliate Marks, nor misappropriate the Affiliate Marks for VCommission’s own use. Affiliate reserves all rights to control the use of the Affiliate Marks, and VCommission shall not change or modify the Affiliate Marks in any manner without prior written authorization from Affiliate.

Reservation of Rights
Except as expressly granted in this Agreement, VCommission shall have no other rights of any kind in the Affiliate Marks or the Affiliate Site. Under no circumstances will anything in this Agreement be construed as granting, by implication, estoppels or otherwise, a license to any of Affiliate’s Intellectual Property or proprietary technology other than the use of the Affiliate Marks in accordance with the terms of this Agreement. VCommission acknowledges that the Affiliate Services are the sole property of Affiliate, and this Agreement only grants a limited right to link to the Affiliate Site under the terms and conditions of this Agreement. The Affiliate Marks may not be used as a feature or design element of any other logo unless agreed upon by Affiliate.

EXCLUSIVITY

The Affiliate is not barred by this agreement from participating in any other Affiliate Program offered by any VCommission competitor. In addition, with VCommission, an Affiliate can join any Merchant Affiliate Program subject to the approval of that Merchant and any additional terms and conditions they may specify.

PAYMENTS

1. Commission Fees
Affiliate will receive commission for Events based on the reports from the commission structure offered by Merchant (as such are offered from time to time) for all approved Merchant Campaigns.

2. Payment Terms
(a) All payments are based on VCommission Transactions as defined, accounted, and audited by VCommission.

(b) All accounts will be settled in Indian Rupees. No checks will be issued for any amounts less than Rs.1000. However, the minimum payment via Money Bookers is Rs.100 if you opt for Money Bookers. Any amounts less than Rs.100 will carry over to the next week. Every Affiliate account (where applicable) must have a unique PAN Number.

(c) Affiliate’s right to access Affiliate account with VCommission is subject to any limits established by VCommission, or its contractors.

(d) Affiliate is responsible for maintaining the correct contact and payment information associated with Affiliate account. This must be done online using the VCommission Affiliate Manager. Returned or cancelled payment bank/service fees due to any error in Affiliate contact or payment information are Affiliate’s responsibility, and will be deducted from Affiliate account balance.

FORCE MAJEURE

A party shall not be considered to be in default in the performance of any obligations under this Agreement when a failure of performance shall be due to an uncontrollable force. The term “uncontrollable force,” as used in this Agreement, shall mean an unanticipated event which is not reasonably within the control of the affected party and which by exercise of reasonable due diligence, such affected party could not reasonably have been expected to avoid, overcome or obtain or cause to be obtained a commercially reasonable substitute there for. Such causes may include, without limitation, the following: flood, earthquake, tornado, storm, fire, terrorist attack, explosion, public emergency, civil disobedience, labor dispute, labor or material shortage, sabotage, restraint by court order or public authority (whether valid or invalid), and action or non-action by or inability to obtain or keep the necessary authorizations or approvals from any governmental agency or authority; however, no party shall be relieved of its obligations hereunder, if its failure of performance is due to removable or remediable causes which such party fails to remove or remedy using commercially reasonable efforts within a reasonable time period. Either party rendered unable to fulfill any of its obligations under this Agreement by reason of an uncontrollable force shall give prompt notice of such fact to the other, followed by written confirmation of that notice, and shall exercise due diligence to remove such inability with all reasonable dispatch.

TERM OF AGREEMENT AND TERMINATION

If Affiliate is dissatisfied with Affiliate account in the VCommission Affiliate Program or with any of the terms and conditions contained herein, Affiliate’s sole and exclusive remedy is to terminate Affiliate account. Affiliate may cancel participation in the VCommission Affiliate Program at any time by sending notice.

1. Term
The term of this Agreement shall begin on the date the Affiliate applies for an account and shall continue until terminated by any of the suspected actions.

2. Termination
This Agreement will terminate in the event of any of the following:

(a) On the tenth (10th) day after a material breach, provided one party gives the other written notice of a material breach by the other of this Agreement and a request for a cure, unless the breach is cured before that day;

(b) Immediately once notice of termination by either party is received by the other party.

3. Effect of Termination
Upon termination of this Agreement, all licenses granted by Affiliate hereunder shall automatically terminate.

4. Suspension
VCommission reserves the right, at its sole discretion to suspend the Affiliate if it suspects a material breach of TOS. If VCommission takes action to suspend, VCommission may do so immediately, but VCommission is not relieved of its obligation to notify the Affiliate.

 

Merchant Website
It is the merchant’s responsibility to maintain his websites uptime to ensure purchase, registration, lead and any other action related to the ad and/or campaign.

Confidentiality
While registering, you may be asked to provide certain personal information to enjoy maximum benefits of our products and services. The fields require may include details like name, address, telephone number, billing information (credit card number etc.).
The personal information is collected with the sole purpose of managing the accounts (like billing info and company records).

Affiliates
You should place our merchants’ banners anywhere on your site as you see fit, or within non-spam emails. 

• As an affiliate, you can only have 1 account at VCommission. Multiple domains in a single are allowed. Self-referrals for affiliate or merchant accounts are strictly prohibited. 
• Your physical address listed for receiving checks must be a valid address. 
• Do not spam. If found doing so, your account is liable for termination.

You will get commission for providing the merchant with authorized sales, leads, and/or clicks via Your Links. However, such should be done with the approval of the merchant.

The content, images, stats etc. on the website is a copyright of VCommission and copied and reused distribution of the same is prohibited until rights are outsourced by VCommison explicitly.

By signing up with VCommission implies that you agree to all our terms and conditions.

The terms contain the Terms of use contain the rules that you need to follow and the decider for the same is solely our company.

VCommission has the sole right to revise, amend or modify this policy as well as our other policies and agreements at any time at our discretion without any prior notification.

The changes would be updated at the wesbite and it remains the members’ responsibility to check the same periodically.
